Terms and Conditions

The agreement governing access to ClickMaker Connect for organizations in India and around the world.

Legal review required

This is a plain-language draft for a global customer base, not legal advice. It should be reviewed by qualified counsel in the markets where ClickMaker Connect is sold before it is relied on in a dispute.

Summary

  • These terms form a binding agreement between ClickMaker IT Solutions LLP and the organization using ClickMaker Connect.
  • Customers are responsible for their own WhatsApp Business Account, Meta compliance, consent and message content.
  • The platform is infrastructure; it does not guarantee message delivery or Meta approval.

1. Agreement and eligibility

By creating an organization, accessing the platform or using the API, you agree to these terms on behalf of the legal entity you represent. If you do not have authority to bind that entity, do not use the service. You must be able to enter a binding contract in your jurisdiction and must not be subject to trade sanctions that prohibit use of the service.

An order form, enterprise agreement or data processing agreement may supplement these terms. If there is a conflict, the signed order form prevails for the conflicting subject matter.

2. The service

ClickMaker Connect provides a dashboard, REST API, webhook pipeline and related tooling for connecting and operating WhatsApp Business Accounts. The service is an independent product of ClickMaker IT Solutions LLP and is not owned, operated, certified or endorsed by Meta.

WhatsApp availability, features, permissions, template review, messaging limits and per-message pricing are controlled by Meta and may change without notice to us.

3. Accounts and customer responsibilities

  • Provide accurate account and organization information and keep it current.
  • Own or validly control every WhatsApp Business Account, phone number and business asset you connect.
  • Obtain valid opt-in consent before sending marketing or promotional messages, and honour opt-outs promptly.
  • Ensure message content is lawful and complies with Meta's WhatsApp Business Messaging Policy and the laws of every market you message.
  • Use approved templates where required and respect the customer service window.
  • Protect credentials, assign roles carefully and notify us promptly of unauthorized access.
  • Maintain your own backups of data you cannot afford to lose.

4. Fees, currencies and taxes

Platform fees are stated on the pricing page, in your order form or at checkout. Prices may be displayed in USD, CAD, AUD, NZD, JPY, INR or another supported currency. Unless stated otherwise, fees exclude applicable taxes, which are calculated at checkout based on your billing country and may be collected by our payment provider.

Meta per-message charges are separate. They are billed by Meta or its designee under Meta's terms and are not included in the ClickMaker platform fee. We may change platform pricing with reasonable notice; changes do not apply retroactively to a prepaid term. Non-payment may result in suspension after notice.

5. Payments and merchant of record

Subscription payments are processed by Dodo Payments or another provider we identify at checkout. Dodo may act as merchant of record for the transaction. Its buyer terms, refund rules and payment-method requirements may also apply. We never ask you to enter card details directly into ClickMaker.

You authorize recurring charges for the plan and interval you select until you cancel. Invoices and receipts are made available in the dashboard or by email.

6. Meta terms and messaging

Your use of WhatsApp is governed by your agreements with Meta, including the WhatsApp Business Terms of Service and Meta Platform Terms. You must maintain a valid Meta relationship and comply with Meta's verification, commerce and messaging policies.

If Meta restricts or terminates your access, ClickMaker cannot override that decision. We may suspend the affected connection while complying with Meta instructions. We do not guarantee delivery, read rates, template approval or messaging limits.

7. Intellectual property and confidentiality

ClickMaker retains ownership of the platform, software, documentation and brand. Customers retain ownership of their business data, content, contacts and WhatsApp assets, and grant us a limited licence to process that data to provide the service. Feedback may be used to improve the product without obligation.

Each party will protect the other's confidential information with reasonable care and use it only to perform the agreement. Confidential information does not include information that is public, independently developed or lawfully received without restriction.

8. Suspension, termination and liability

We may suspend or terminate access for material breach, non-payment, unlawful use, security risk, Meta instruction or conduct that harms the platform or other customers. Where reasonable, we will give notice and an opportunity to cure. On termination, access ends and data is handled under the retention and deletion provisions. Amounts already incurred remain payable.

Except as expressly stated, the service is provided "as is" and "as available". To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill. Our aggregate liability is limited to the platform fees paid or payable for the twelve months preceding the claim, except for liability that cannot be limited by law.

9. Governing law and international customers

These terms are governed by the laws of India, and the courts at our registered office have exclusive jurisdiction, subject to any mandatory consumer, employment or data-protection rights in your country. The parties will attempt good-faith resolution before litigation.

If you are a consumer or small business in a jurisdiction with mandatory local protections, nothing in these terms removes rights you cannot waive. Enterprise customers may negotiate a different governing law and venue in an order form.

10. Changes and contact

We may update these terms. Material changes will be notified through the platform or by email. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the service and terminate under the agreement. Legal notices can be sent to the legal contact on this page.
